Job DescriptionOur client specialising in three client-facing areas: Trust and Corporate Services, Private Client Services and Fund Administration as well as the supporting functions is seeking to recruit a Company Secretary - Fund Services. Key responsibilities will include: • To make a proactive and positive contribution to the Fund Department in order to continually seek to improve efficiency • Deliver a high quality service that satisfies the relevant Client Agreements, and which conforms to the appropriate regulatory, legal and exchange listing requirements • To ensure compliance with internal procedures • To ensure compliance with each client’s Memorandum and Articles of Association • To prepare timely meeting agendas and board packs both in hard copy and using the virtual boardroom programme where required • To ensure accurate client secretarial records including share registers are maintained on internal systems as well as the preparation of transfers and share certificates • To manage the security of documentation including the Certificate of Incorporation, Memorandum and Articles of Association, Share Certificates and Stock Transfer Forms • To prepare for, and attend where necessary, company AGMs/EGMs and send out all necessary notices by the correct dates • To maintain communication links between directors/non-executive directors as well as shareholders and the board alongside other key service providers • To maintain the company meetings calendar • Such other duties as the Company may at times reasonably require The successful candidate will have: • Experience of Company Secretarial administration. • Relevant educational / professional qualifications.
